In this role, the SATC enters legal agreements to hold property and sign documents on behalf of Scout Units. It is a bare trustee and agent of the Scout Unit it holds title for.\u003C/li\u003E\n\u003Cli\u003EThe SATC has no ability to act without formal instruction from the Scout Unit it holds title for.\u003C/li\u003E\n\u003Cli\u003EIf SATC holds title, then members of the local Scout Unit cannot sign documents or enter agreements relating to the property held. Only the SATC directors/trustees can sign documents.\u003C/li\u003E\n\u003Cli\u003ELocal Scout Units maintain full control over the property that the SATC hold on their behalf. These are legal compliance, ease of administration, document security, and easy transfer of property when Scout Units move or close.\u003C/li\u003E\n\u003Cli\u003EIf documents are held with the SATC then a Scout Unit can request copies or originals from the SATC. They can appoint 2-4 holding trustees if they prefer as per POR clause 5a.3.2.1.\u003C/li\u003E\n\u003Cli\u003EDespite the SATC holding title, the Scout Unit is solely responsible for all matters concerning the property including:\u003Cbr\u003E\n\u003Cul\u003E\n\u003Cli\u003E(if leased) paying rent, property maintenance, and any other terms of the lease,\u003C/li\u003E\n\u003Cli\u003E(if owned) any costs relating to the property (including tax although charity relief may be available),\u003C/li\u003E\n\u003Cli\u003Edisputes that arise,\u003C/li\u003E\n\u003Cli\u003Eproperty insurance,\u003C/li\u003E\n\u003Cli\u003Ecompliance with the terms of any agreements (leases, easements, funding agreements, sales, purchases etc),\u003C/li\u003E\n\u003Cli\u003Eupdating the land register,\u003C/li\u003E\n\u003Cli\u003Esubmitting SDLT forms,\u003C/li\u003E\n\u003Cli\u003Ethe cost of professional advice or work (lawyers, surveyors, agents, tradespeople etc), and\u003C/li\u003E\n\u003Cli\u003Ecompliance with the Charities Act 2011 (especially in respect of a charitable disposition and obtaining a s119 report/qualified advisor report).\u003C/li\u003E\n\u003C/ul\u003E\n\u003C/li\u003E\n\u003Cli\u003EThere are costs associated with instructing/engaging the SATC. The Legal Team have professional obligations as in-house solicitors for the Scout Association and their role representing the SATC. Because of this, the Legal Team \u003Cstrong\u003Ecannot\u003C/strong\u003E provide legal advice or represent any Scout Unit in their legal matters. They are classed as an unincorporated charitable association. Some are registered with the Charity Commission if they meet the criteria.\u003C/p\u003E\n\u003Cp\u003EDue to a Scout Unit being a charity, but not a corporate entity, it is unable to hold legal title to land. Instead, it can nominate or appoint trustees to hold legal title on the Scout Unit\u2019s behalf. This means it is appointed to hold formal legal title to property (freehold or leasehold) or assets on behalf of an unincorporated charitable association (like a Scout Unit). This is similar to a holding trustee.\u003C/p\u003E\n\u003Cp\u003EThe custodian trustee\u2019s role is limited to holding the legal title to property or assets. It does not manage the property or have any involvement or responsibilities in relation for its upkeep or use. It will be involved with signing necessary documents concerning the property as instructed by the managing trustees of the Scout Unit. The custodian trustee acts as an agent of the Scout Unit.\u003C/p\u003E\n\u003Cp\u003EThe only instance where the SATC engages directly with trustees regarding how they manage the property is if they are made aware of a breach of the terms of the trust. The Scout Association Legal Team will forward letters and other correspondence received in relation to property that SATC hold to the relevant Scout Unit.\u003C/p\u003E\n\u003Cp\u003EThe full responsibility and liability for the property including any obligations contained on the title or within the lease remain with the managing trustees of the Scout Unit. If a property is brought or sold it must be registered with the HM Land Registry. Leases with a term exceeding 7 years also require registration. In this situation the property is held by only one of the Trust Corporations and there is a shared trust deed specifically used for joint arrangements.\u003C/p\u003E\n\u003Cp\u003EThis shared trust deed establishes a joint management committee, with broad rules outlined in the deed. Generally, the management committee should be a sub-committee of both the Scout and the Guide Units, made up of three members from each Unit with decisions made by a majority vote.\u003C/p\u003E\n\u003Cp\u003EThe joint management committee is not its own charity or separate legal entity but is a committee set up to ensure effective management of the shared property. This committee remains accountable to each of the separate Scout and Guide Unit trustees which they represent. The Scout and Guide Units remain two distinct separate charities despite them jointly holding property.\u003C/p\u003E\n\u003Cp\u003EAlternatively, either the Scout Unit or Guide Unit could own the property outright and licence or lease part of the property to the other Unit.
